2.3 Service Availability

NO SERVICE GUARANTEE: We do not guarantee that our services will be available 100% of the time. We reserve the right to modify, suspend, or discontinue any service at any time without notice. We are not liable for any service interruptions, downtime, or unavailability.

3. Maximum Liability Limitations

3.1 Comprehensive Liability Disclaimer

MAXIMUM LEGAL PROTECTION: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WITH A PURPOSE, ITS OWNERS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, SUCCESSORS, ASSIGNS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

MONETARY CAP: IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED $1 USD. IF WITH A PURPOSE IS FOUND LIABLE FOR ANY REASON, THE MAXIMUM COMPENSATION PAYABLE SHALL BE ONE US DOLLAR ($1) REGARDLESS OF THE CIRCUMSTANCES OR DAMAGES CLAIMED.

3.3 No Consequential Damages

CONSEQUENTIAL DAMAGES WAIVER: YOU ACKNOWLEDGE AND AGREE THAT WE SHALL NOT BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

3.4 Force Majeure

ACT OF GOD: We shall not be liable for any failure or delay in performance under these terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, government actions, internet infrastructure failures, or pandemics.

Consulting services are subject to fee structures as outlined in individual engagement agreements or proposals. All fees are quoted in GBP (British Pounds Sterling) unless otherwise specified.

6.3 No Refund Policy

STRICT NO REFUND POLICY: EXCEPT AS EXPRESSLY STATED IN A WRITTEN SERVICE AGREEMENT, ALL PAYMENTS FOR SERVICES ARE NON-REFUNDABLE. THIS INCLUDES BUT IS NOT LIMITED TO CONSULTING FEES, DEPOSITS, AND ANY OTHER CHARGES.

6.4 Tax Obligations

You are responsible for all applicable taxes, duties, or governmental charges associated with your use of our services, excluding taxes based on our net income.

7. Intellectual Property Rights

7.1 Our Intellectual Property

OWNERSHIP: All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, code, and designs, are the exclusive property of With A Purpose or its licensors and are protected by intellectual property laws.

7.2 User-Generated Content

You retain ownership of any content you submit to our services. By submitting content, you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and display such content in connection with our services.

7.3 Trademarks

"With A Purpose", "AI Prediction", and all related logos, service marks, and trademarks are the exclusive property of With A Purpose. No right or license is granted to use any of our trademarks without prior written permission.

7.4 AI-Generated Content

AI-generated content provided through our services is owned by With A Purpose or its respective ventures. You may use such content in accordance with these terms and applicable service agreements.

8. Confidentiality and Data Protection

8.1 Confidential Information

Both parties agree to maintain the confidentiality of all non-public information received during the course of service engagement. This includes but is not limited to business strategies, technical information, and proprietary processes.

8.2 Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws. By using our services, you consent to the collection and processing of your personal data as described in our Privacy Policy.

8.3 Security Measures

We implement reasonable security measures to protect user data, but we cannot guarantee absolute security. You acknowledge that no internet transmission or electronic storage method is 100% secure.

9. Prohibited Activities and Conduct

9.1 System Abuse

You shall not attempt to gain unauthorized access to our systems, networks, or servers. This includes but is not limited to hacking, password mining, or any other attempts to breach security.

9.2 Malicious Code

You shall not upload, transmit, or distribute any viruses, malware, trojan horses, or other malicious code that could harm our systems or other users.

9.3 Illegal Content

You shall not use our services to host, display, or distribute any illegal, harmful, or offensive content, including but not limited to hate speech, child exploitation, or terrorist content.

9.4 Copyright Infringement

You shall not use our services to infringe on the intellectual property rights of others. We respect intellectual property rights and will terminate repeat infringers.

If you access our services through app stores or other marketplaces, you agree to comply with their respective terms and conditions. We are not responsible for any violations of app store policies.

12. Indemnification

12.1 User Indemnification

COMPREHENSIVE INDEMNIFICATION: YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS WITH A PURPOSE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES), AND COSTS ARISING OUT OF OR RELATING TO:

• • Your violation of these terms or any applicable laws

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you shall cooperate fully with us in the defense of such matter.

12.3 Settlement Without Consent

You shall not settle any claim without our prior written consent, which shall not be unreasonably withheld, delayed, or conditioned.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

13.2 Binding Arbitration and Mediation

ARBITRATION AND MEDIATION AGREEMENT: EXCEPT FOR INTELLECTUAL PROPERTY AND SMALL CLAIMS COURT ACTIONS, ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL BE RESOLVED THROUGH MEDIATION FIRST IN HO CHI MINH CITY, VIETNAM, IN THE VIETNAMESE LANGUAGE. IF MEDIATION FAILS, THE DISPUTE SHALL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION IN ACCORDANCE WITH VIETNAMESE ARBITRATION LAW.

13.3 Class Action Waiver

NO CLASS ACTIONS: YOU AGREE THAT ANY ARBITRATION PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS ACTION, REPRESENTATIVE ACTION, OR CLASS ARBITRATION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS AGAINST US.

13.4 Waiver of Jury Trial

YOU AND WITH A PURPOSE IRREVOCABLY WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES.

14. Termination and Suspension

14.1 Termination by User

You may terminate your use of our services at any time by discontinuing use and closing your account, if applicable.

14.2 Termination by Us

We reserve the right to terminate or suspend your access to our services at any time, with or without cause, and with or without notice.

14.3 Effect of Termination

Upon termination, all rights granted to you under these terms shall immediately cease. Sections regarding liability limitations, indemnification, and governing law shall survive any termination.

14.4 Data Deletion

Upon termination, we may delete your account and associated data in accordance with our Privacy Policy and applicable laws. We are not required to retain any user data after termination.

15. Governing Law and Jurisdiction

15.1 Governing Law

These terms and your use of our services shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law principles. All legal proceedings and documentation shall be conducted in the Vietnamese language.

15.2 Jurisdiction and Venue

You irrevocably submit to the exclusive jurisdiction of the courts of Ho Chi Minh City, Vietnam for the resolution of any disputes arising out of or relating to these terms or our services. All mediation and legal proceedings must take place in Ho Chi Minh City and shall be conducted in the Vietnamese language.

15.3 International Users

If you are accessing our services from outside Vietnam, you do so at your own risk and are responsible for compliance with local laws. We make no representation that our services are appropriate or available for use in all locations. All legal disputes shall be resolved under Vietnamese law regardless of your location.

16. General Provisions

16.1 Entire Agreement

These terms constitute the entire agreement between you and With A Purpose regarding the subject matter hereof and supersede all prior agreements, negotiations, and discussions.

16.2 Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be replaced with an enforceable provision that most closely reflects the original intent.

16.3 Waiver

No waiver of any provision of these terms shall be effective unless in writing and signed by an authorized representative of With A Purpose. Failure to enforce any provision shall not constitute a waiver.

16.4 Assignment

You may not assign or transfer any rights or obligations under these terms without our prior written consent. We may freely assign these terms without restriction.

16.5 Notice

All notices under these terms shall be in writing and sent to: legal@withapurpose.co or such other address as we may specify.

16.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or government actions.

16.7 Electronic Communications

You consent to receive electronic communications from us. You agree that any notices, agreements, disclosures, or other communications that we send electronically will satisfy any legal requirements for written communication.
